1. Acceptance of Terms

By accessing or using the Long Tail Capital website and application portal (the “Platform”), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Platform. Long Tail Capital reserves the right to modify these terms at any time, and continued use of the Platform constitutes acceptance of any changes.

2. Description of Services

Long Tail Capital provides a contract underwriting and financing platform that evaluates purchase orders, government contracts, and private service agreements for financing eligibility. The Platform uses proprietary scoring models, artificial intelligence analysis, and third-party data verification to assess applications. Long Tail Capital is not a bank and does not accept deposits.

3. Application Process

Submitting an application through the Platform does not guarantee financing approval. All applications are subject to underwriting review, verification of submitted information, and internal scoring criteria. Long Tail Capital reserves the right to approve, deny, or request additional information for any application at its sole discretion.

4. User Representations

By submitting an application, you represent and warrant that:

• All information provided is accurate, complete, and not misleading
• You have the authority to submit the application on behalf of the business entity
• The contracts and documents submitted are genuine and unaltered
• You consent to verification of the information provided through third-party services
• You are at least 18 years of age and legally authorized to enter into agreements

5. Data and Document Submission

Documents uploaded to the Platform, including contracts, identification documents, and financial records, are stored securely and used solely for the purpose of evaluating your financing application. By uploading documents, you grant Long Tail Capital permission to analyze, process, and retain these documents as necessary for underwriting and compliance purposes. Please refer to our Privacy Policy for detailed information on data handling.

6. AI-Assisted Analysis

The Platform employs artificial intelligence tools to assist in underwriting analysis, including but not limited to document review, entity research, compliance screening, and risk assessment. AI-generated analysis is used to supplement, not replace, human judgment in financing decisions. Long Tail Capital does not guarantee the accuracy of AI-generated insights and reserves the right to override automated assessments.

7. Financing Terms

Specific financing terms, including amounts, rates, repayment schedules, and conditions, are determined on a deal-by-deal basis and will be communicated separately upon approval. These Terms & Conditions govern your use of the Platform and application process only, not the terms of any financing agreement. Financing agreements are subject to separate documentation and execution.

8. Limitation of Liability

Long Tail Capital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. The Platform is provided “as is” without warranties of any kind, express or implied. Long Tail Capital's total liability shall not exceed the amount of any fees paid by you to Long Tail Capital in connection with the services provided.

9. Intellectual Property

All content, scoring methodologies, software, and branding on the Platform are the intellectual property of Long Tail Capital and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works based on any content from the Platform without express written permission.

10. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts located in Harris County, Texas.
